Board Meeting & AGM Compliance Under the Companies Act, 2013
Meetings are where a company’s decisions are formally made — and the law is specific about how they must be conducted. Getting the notice, quorum, or minutes wrong can invalidate decisions and attract penalties. This guide explains board meeting and AGM compliance under the Companies Act, 2013, covering frequency, notice, quorum, minutes, and resolutions.
Board Meetings
Frequency
Every company must hold a minimum number of board meetings each year, with the gap between two consecutive meetings not exceeding the prescribed limit. Small companies and One Person Companies have relaxed requirements.
Notice
Notice of a board meeting must be given to every director at least the prescribed number of days in advance, in writing (including electronic means), along with the agenda.
Quorum
The quorum for a board meeting is one-third of the total strength or two directors, whichever is higher. Directors can participate through video conferencing, which counts towards quorum.
Resolutions
Decisions are passed as board resolutions. Some matters can be passed by circulation, while certain important matters must be decided only at a duly convened meeting.
Annual General Meeting (AGM)
When to Hold the AGM
Every company (other than a One Person Company) must hold an AGM within the prescribed time after the financial year end. The first AGM has a special timeline from incorporation, and the gap between two AGMs cannot exceed fifteen months.
Notice of AGM
A clear notice of at least 21 days (which can be shorter with consent) must be given to members, directors, and auditors, with the agenda and explanatory statement for special business.
Quorum for AGM
For a private company, the quorum is generally two members personally present; for a public company, it is higher based on membership.
Business Transacted
The AGM adopts the financial statements, declares dividend, appoints or ratifies auditors, and handles director rotation — the “ordinary business” — plus any special business. The financials adopted here feed into AOC-4 and MGT-7.
Minutes of Meetings
Minutes must be prepared, signed, and kept for every board and general meeting within the prescribed time, and entered in the minute book. They are a permanent statutory record — see statutory registers and records.
